1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Peepd Inc. ("Peepd," "we," "us," or "our") governing your access to and use of the peepd.com website and all related services, features, and content (collectively, the "Platform").

By creating an account, connecting a social account, submitting a review, or otherwise using the Platform, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy.

2. Eligibility

You must be at least 18 years of age to use Peepd. By using the Platform you represent and warrant that:

• You are at least 18 years old.
• You have the legal capacity to enter into a binding contract.
• You are not prohibited from using the Platform under applicable law.
• You have not been previously banned or suspended from the Platform.

3. Account Registration & Verification

Peepd uses LinkedIn as its account registration and authentication method. By connecting your LinkedIn account you authorize Peepd to access certain profile information as described in our Privacy Policy.

You are responsible for:

• Maintaining the security of your connected social account credentials.
• All activity that occurs under your Peepd account.
• Notifying us immediately at support@peepd.com if you suspect unauthorized use of your account.

You may not share your account with or transfer it to another person.

4. The Peepd Platform

Peepd is a community-powered social reputation platform that allows verified users ("Reviewers") to post honest, first-hand peer reviews about other individuals ("Subjects"). Peepd provides the infrastructure for these reviews and associated reputation scores but does not author, endorse, verify, or guarantee the accuracy of any individual review.

Reputation scores displayed on the Platform are calculated algorithmically from submitted reviews, accuracy votes, and other signals. Scores are illustrative and do not constitute a professional assessment of any person's character, creditworthiness, or fitness for any purpose.

5. Reviewer Eligibility Requirements

To submit a review on Peepd, you must satisfy all of the following requirements:

1. Social network verification — you must authenticate via LinkedIn and have a minimum of 500 verified connections on that platform at the time of review submission.
2. Identity verification — you must complete a government-issued ID check and liveness (face) scan through our identity verification partner, Persona, and receive an Approved outcome.

These requirements exist to ensure that all reviews are written by real, identifiable humans with established social presence — protecting both reviewers and Subjects from fraud, fake reviews, and abuse.

Peepd reserves the right to adjust these requirements at any time. Meeting the requirements does not guarantee that a specific review will be published; reviews are still subject to our content standards below.

6. Content Standards & Prohibited Conduct

All content you submit to the Platform must be truthful, based on genuine first-hand experience, and comply with the following standards.

You may not submit content that:

• Is false, fabricated, or materially misleading.
• Is defamatory, harassing, threatening, or intended to intimidate.
• Reveals private information about a Subject (such as home address, financial details, health information, or sexual orientation) that they have not publicly disclosed.
• Is hateful, discriminatory, or targets a person on the basis of race, ethnicity, gender, religion, disability, sexual orientation, or national origin.
• Constitutes spam, coordinated inauthentic behavior, or a campaign to artificially inflate or deflate someone's score.
• Violates any applicable law, including defamation, privacy, or harassment laws.
• Contains sexually explicit or graphic violent material.
• Infringes the copyright, trademark, or other intellectual property rights of any third party.

You also agree not to:

• Attempt to reverse-engineer, scrape, or otherwise extract data from the Platform in bulk without our written consent.
• Use automated scripts, bots, or other non-human means to interact with the Platform.
• Circumvent any identity or connection-count verification mechanism.
• Impersonate another person or misrepresent your affiliation with any entity.
• Interfere with or disrupt the integrity or performance of the Platform or its servers.

Peepd reserves the right to remove any content that violates these standards and to suspend or terminate accounts that engage in prohibited conduct, without prior notice.

7. Intellectual Property

Peepd's content. All trademarks, logos, design elements, software, and original content created by Peepd are owned by Peepd Inc. and protected by applicable intellectual property laws. You may not use our trademarks or content without our written permission.

Your content. You retain ownership of the reviews and other content you submit. By submitting content to the Platform, you grant Peepd a worldwide, royalty-free, non-exclusive, transferable license to host, display, reproduce, modify (for formatting), and distribute that content in connection with operating and promoting the Platform.

You represent and warrant that you own or have the necessary rights to submit your content and that your content does not infringe the intellectual property rights of any third party.

8. Privacy & Data

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review it carefully.

9. Third-Party Services

The Platform integrates with third-party services including LinkedIn and Persona. Your use of those services is subject to their respective terms and privacy policies. Peepd is not responsible for the practices of any third-party service.

The Platform may contain links to third-party websites. Those links are provided for convenience only; Peepd does not endorse and is not responsible for the content or privacy practices of linked sites.

10. Disclaimers & Limitation of Liability

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. PEEPD DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

PEEPD IS NOT RESPONSIBLE FOR THE CONTENT OF USER-SUBMITTED REVIEWS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PEEPD'S AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) $100 USD OR (B) THE AMOUNTS PAID BY YOU TO PEEPD IN THE TWELVE MONTHS PRECEDING THE CLAIM.

IN NO EVENT SHALL PEEPD BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Some jurisdictions do not allow the exclusion of certain warranties or limitations on liability, so the above may not apply to you in full.

11. Indemnification

You agree to indemnify, defend, and hold harmless Peepd Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to (a) your use of the Platform, (b) your violation of these Terms, (c) your content, or (d) your violation of any rights of a third party.

12. Dispute Resolution

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles. Any dispute arising under these Terms that cannot be resolved informally shall be submitted to binding arbitration administered under the American Arbitration Association's Consumer Arbitration Rules. Arbitration will be conducted in English on an individual basis — class actions and class arbitrations are waived.

Notwithstanding the above, either party may seek injunctive or other equitable relief in a court of competent jurisdiction.

13. Termination

Peepd may suspend or terminate your account and access to the Platform at any time, for any reason, including violation of these Terms, without prior notice or liability. You may stop using the Platform at any time; however, reviews you have already submitted will remain on the Platform unless removed under our content policies.

Provisions that by their nature should survive termination (including Sections 7, 10, 11, and 12) will survive.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by updating the "Last updated" date and, where appropriate, by sending a notice to your registered email address. Continued use of the Platform after changes are posted constitutes your acceptance of the updated Terms.
